§ 01
Acceptance
By accessing the QGUID website, registry, resolver, APIs, or SDKs (the "Services"), you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
§ 02
Eligibility
You must be at least 16 years old, not on any sanctions list maintained by the U.S., U.K., or E.U., and not located in a jurisdiction subject to comprehensive U.S. embargoes. You agree to provide accurate registration information and keep it current.
§ 03
Names and ownership
QGUID issues subnames under qguid.eth. The associated cryptographic keypair belongs to you and is held non-custodially. We do not access, escrow, or recover your private keys. Loss of keys may result in permanent loss of control over the name.
§ 04
Acceptable use
You will not use the Services to (a) impersonate, defraud, or harass any person or entity; (b) infringe intellectual property rights; (c) circumvent rate limits or security controls; (d) issue names that violate trademark law in your jurisdiction; or (e) facilitate any activity unlawful where you operate.
§ 05
Fees, renewals, and grace periods
Annual fees are billed at issuance and on each renewal. If a name is not renewed, it enters a 90-day grace period at the same price, then a 30-day premium auction, then returns to the public pool. Fee schedules are published at /pricing.
§ 06
Service availability
We target 99.9% uptime for the resolver and API on Fleet plans, 99.99% on Enterprise. We do not guarantee uninterrupted service. Scheduled maintenance is announced via /docs#status.
§ 07
Cryptography and forward secrecy
We may rotate cryptographic primitives in response to standards changes, audit findings, or quantum-relevant developments. Rotations preserve your name and identity; signing keys may need to be re-issued. Reasonable notice will be given.
§ 08
Intellectual property
QGUID, QGUID Labs, the wordmark, and the resolver gateway are our intellectual property. The protocol, SDKs, and resolver document schemas are licensed under Apache-2.0. Your name, your keys, and your resolver records remain yours.
§ 09
Disclaimers
The Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
§ 10
Limitation of liability
To the maximum extent permitted by law, our aggregate liability under these Terms will not exceed the greater of (a) fees paid by you to us in the twelve months preceding the claim, or (b) USD 100. We are not liable for indirect, incidental, special, consequential, or punitive damages.
§ 11
Termination
You may terminate at any time by transferring or revoking your names. We may suspend or terminate the Services for material breach with reasonable notice, or immediately for unlawful use, security incident response, or sanctions compliance.
§ 12
Governing law
These Terms are governed by the laws of the State of Delaware, U.S.A., excluding its conflict-of-laws rules. Disputes are resolved by binding arbitration in New York, NY under JAMS rules, except either party may seek injunctive relief in court.
§ 13
Changes
We may update these Terms. Material changes will be announced at least 30 days in advance via email and the website. Continued use after the effective date constitutes acceptance.
